A major real estate investment firm is urgently seeking a Senior Corporate Officer who can speak fluent English and French. This person will closely with Legal Manager and will assist in all legal and corporate structuring in Luxembourg and all contracts and documents associated with them.

Main Duties:

*Preparing standard Boards ie approving asset transaction, accounts, financing documentation.
*Preparing shareholder resolutions.
*Preparing financing documentation. Ideally experience in drafting loan agreements / preferred equity certificates (PECS) and redemption notices.
*Preparing Pledge agreements.
*Responsible for updating and maintaining assigned deal instrument registers .
*Updating and maintain their assigned companies share registers.
*Update and maintain signatory lists / directors lists.

Profile:

*Legal degree, experience in Luxembourg corporate law is a requirement.
*Have a clear understanding of the audit process from a legal perspective eg confirmation letters / Representation letters.
*A knowledge of SICAR would be a benefit but not essential.
*Fluent English and French is a requirement. Ability in other European languages is a plus.
*Highly versatile and adaptable.
*Strong communication skills, both written and oral, and attention to detail is a requirement.
