Senior Counsel
Our client has an amazing opportunity for a qualified lawyer with post qualification experience in private practice gained at a city firm to join this will respected team. The role will Report into Senior Management Counsel. The team are very much respected and you will be able to work autonomously within this flat structure with a great deal of responsibility and exposure across the business. There is plenty of client interaction and this is a very ‘hands on’ role within an excellent environment.

The company is a leading provider of financial services for institutions, corporations and high-net-worth individuals, providing superior asset management and wealth management, asset servicing, issuer services, clearing services and treasury services through a worldwide client-focused team.
The International Asset Management & Corporate team currently comprises in total of 25 lawyers internationally (ex North-America), of which 14 lawyers are based in the London office which also includes 2 paralegals, the UK company secretary and support personnel.
The work is interesting and varied and you will be tasked with providing legal services to their asset management businesses covering both UK domestic and international markets.
Responsibilities include:
(i) negotiation and drafting of investment management agreements;
(ii) negotiation and drafting of distribution arrangements and fund link agreements;
(iii) product work including developing, structuring and maintaining new and existing funds
(iv) special projects (e.g. assistance with M&A transactions);
(v) derivatives documentation
(vi) providing advice regarding regulatory, contractual and other legal issues. Experience of funds structured in the UK, Ireland, Luxembourg, the US and the Cayman Islands would be beneficial. Knowledge of the UK regulatory regime is required.
The role will also involve:
(i) instruction and ongoing management of external counsel, both in the UK and overseas;
(ii) advising generally on a wide range of commercial matters including employment, and commercial work (e.g. IT contracts and other contracts with suppliers),
(iii) assisting in the ongoing development of the department's know-how system;
(iv) assisting in providing in-house training sessions on legal issues.
In addition you will comply with all corporate policies and procedures within the department, alert management immediately of any significant changes to business risks and internal controls effectiveness, notify management and/or Compliance immediately of any regulatory breach and comply with health and safety policies and procedures operating within the business.
It is essential that you are a strong communicator, who is able to adapt to changing situations and remain customer orientated whilst managing risk and technical issues.
